2. Identity of the Service Provider
2.1Pixhale is a brand operated by Paula Roatiş, a self-employed sole trader established in Ireland. All invoices are issued in her name.
2.2Pixhale may be contacted at pixhale@outlook.com, +353 87 002 3628 or +33 7 63 78 15 68.
2.3Pixhale reserves the right, at its sole discretion, to decline any request, Questionnaire, Client or Project, at any stage and without any obligation to state its reasons.
3. The Prototype
3.1Upon receipt of a completed Questionnaire, Pixhale shall prepare a Prototype within forty-eight (48) hours.
3.2Only Business Days are counted in this period; Saturdays and Sundays are excluded. Any Questionnaire received after 18:00 (Paris time, France), or on a Saturday or Sunday, shall be deemed received on the following Business Day.
3.3The Prototype is provided free of charge. Its delivery creates no obligation on the Client to purchase any Package or service.
3.4The Prototype is provided for preview purposes only, by means of a link or images. No source files, design files or code are supplied.
4. Decision Period
4.1The Client shall notify Pixhale of its decision to proceed within forty-eight (48) hours of delivery of the Prototype (the "Decision Period"). Only Business Days are counted in the Decision Period; Saturdays and Sundays are excluded.
4.2Where the Client elects to proceed, the parties shall hold an initial meeting, following which Pixhale shall issue the Contract and the invoice for the First Instalment. Work on the Project shall commence only upon receipt of the First Instalment.
4.3Where the Client elects not to proceed, or fails to respond within the Decision Period, the Prototype shall remain the exclusive property of Pixhale. The Client shall receive no files, designs or code, and Pixhale may use the Prototype in its portfolio and for other clients.
5. Ownership and Protection of the Prototype
5.1The Prototype and all of its elements, including design, layout, code, texts and images created by Pixhale, remain the exclusive property of Pixhale until the Price has been paid in full.
5.2The Prototype is made available for viewing only. Without Pixhale's prior written consent, the Client shall not copy, download, reproduce, modify, rebuild or communicate the Prototype, in whole or in part, to any third party, including any other designer or developer.
5.3Where the Client does not proceed, or where the Final Instalment is not paid, the Client acquires no right whatsoever to use the Prototype or any part of it.
5.4Pixhale may disable access to the Prototype at any time, and shall do so upon expiry of the Decision Period.
5.5Any use of the Prototype, in whole or in part, without Pixhale's written consent shall entitle Pixhale to invoice the full Price of the corresponding Package, without prejudice to any other legal remedy available to it.
6. Packages and Prices
6.1The Packages and their Prices are published on Pixhale's Services page. All Prices are stated in euro.
6.2The content of each Package, including delivery times and revision rounds, is that described on the Services page on the date of the order.
6.3The Launch Package covers up to three (3) pages, the Growth Package up to six (6) pages in two (2) languages, and the Premium Package up to fifteen (15) pages in up to five (5) languages and, where an online shop or booking system is included, up to fifty (50) products. Any Project exceeding these limits shall be quoted separately.
6.4Launch offer. The first three (3) Contracts signed with Pixhale receive a reduction of thirty-three per cent (33%) on the published Price of the Package concerned. The offer applies once per Client, cannot be combined with any other reduction, and ends automatically once three Contracts have been signed.
7. Payment Terms
7.1First Instalment. Fifty per cent (50%) of the Price is payable before work begins. Following the initial meeting, Pixhale shall issue the Contract and the corresponding invoice. Work shall commence upon receipt of payment.
7.2Final Instalment. The remaining fifty per cent (50%) of the Price is payable upon completion of the work. The Deliverables shall be transferred to the Client only upon receipt of the Final Instalment.
7.3Custom projects. For custom projects ("Begin with a conversation"), the First Instalment is non-refundable, as it secures time and resources reserved exclusively for the Client.
7.4Payment in full. The Client may elect to pay the full Price in advance. These Terms apply in the same manner.
8. Revisions
8.1The Launch Package includes two (2) revision rounds, the Growth Package three (3), and the Premium Package up to ten (10).
8.2A revision round consists of a single, consolidated list of changes submitted at one time.
8.3Additional pages, features or changes outside the agreed scope shall be quoted separately and carried out only after the Client's written approval of the quotation.
9. Delivery
9.1Delivery periods run from the later of (a) receipt of the First Instalment and (b) receipt of all content required from the Client, including texts, images and access credentials.
9.2Any delay by the Client in supplying content or feedback shall extend the delivery date by an equivalent period.
10. Client Content
10.1The Client warrants that it holds all rights necessary to use any text, image, logo or other material supplied to Pixhale, and remains solely responsible for such material.
10.2Pixhale reserves the right to refuse any material it considers unlawful or harmful.
11. Intellectual Property
11.1Upon payment of the Price in full, ownership of the final design and content of the Deliverables passes to the Client.
11.2Until the Final Instalment has been received, all prototypes, designs, code, texts and files, including work in progress, remain the exclusive property of Pixhale, and the Client acquires no right to use them.
11.3Third-party tools, fonts, plugins and platforms remain subject to their respective licence terms.
11.4Pixhale may display the completed Project in its portfolio and on social media, unless the Client objects in writing.
12. Third-Party Costs
12.1Domain names, hosting, paid plugins and other third-party services are not included in the Price.
12.2Such costs shall be agreed at the initial meeting and shall either be added to the invoice for the Final Instalment or paid directly by the Client at the time of purchase.
13. Cancellation
13.1Cancellation by the Client. The Client may cancel the Project at any time by written notice sent by email to pixhale@outlook.com. Cancellation takes effect on the date the notice is received.
13.2No refund. Where the Client cancels the Project, for any reason and at any stage, all amounts already paid to Pixhale are retained in full. No refund, partial refund or credit shall be due.
13.3No rights to the work. Where the Client cancels the Project, the Client acquires no right whatsoever to the Prototype, the Deliverables or any other work produced up to the date of cancellation, whether complete or in progress. All such work remains the exclusive property of Pixhale, shall not be delivered to the Client, and may not be used by the Client in any form. Clause 5 continues to apply after cancellation.
13.4Consumers. Where the Client is a consumer, by asking Pixhale to begin work upon payment of the First Instalment, the Client expressly requests that the services be performed during the statutory cancellation period and acknowledges that, should the Client cancel during that period, the Client shall pay for the services supplied up to the date of cancellation.
13.5Cancellation by Pixhale. Pixhale may terminate the Project by written notice to the Client. In that event, Pixhale shall, within fourteen (14) days of the notice, refund to the Client the amounts paid for any part of the Project on which work has not yet begun. Amounts corresponding to work already performed at the date of termination are retained by Pixhale. Termination under clause 2.3 shall not give rise to any other compensation.
14. Limitation of Liability
14.1Pixhale performs all work with reasonable skill and care, but gives no guarantee as to search engine rankings, traffic volumes or sales.
14.2Pixhale's total liability in respect of any Project shall not exceed the amount paid by the Client for that Project.
14.3Nothing in these Terms limits any statutory rights the Client may have as a consumer.
15. Governing Law and Jurisdiction
15.1These Terms are governed by the laws of Ireland.
15.2Any dispute shall be subject to the jurisdiction of the courts of Ireland, without prejudice to the mandatory consumer protection rights of the Client's country of residence.
16. Amendments
16.1Pixhale may amend these Terms from time to time.
16.2Each Project shall be governed by the version of these Terms published on the date of signature of the Contract or of the first payment, whichever occurs first, until completion of that Project.
